13、不可抗力：由于人力不可抗力的原由發生在制造，裝載或運輸的過程中導致賣方延期交貨或不能交貨者，賣方可免除責任，在不可抗力發生后，賣方須立即電告買方及在14天內以空郵方式向買方提供事故發生的證明文件，在上述情況下，賣方仍須負責采取措施盡快發貨。

force majeure:the sellers shall notbe held responsible for the delay in shipment or non-deli-very of the goods e toforce majeure, which might occur ring the process of manufacturing or in the 買粉絲urseof loadingortransit. the sellers shall advise the buyers immediatelyof the occurrence mentioned above the within fourteen days there after. 

the sellers shall sendby airmail to the buyers for their acceptancea certificate of the accident. under such circumstancesthe sellers, however, are still under the obligation to take all necessary measures to hasten the deliveryof the goods.

14、仲裁：凡有關執行合同所發生的一切爭議應通過友好協商解決，如協商不能解決，則將分歧提交中國國際貿易促進委員會按有關仲裁程序進行仲裁，仲裁將是終局的，雙方均受其約束，仲裁費用由敗訴方承擔。

其中外貿公司必須做的有1,2,10,14(核銷單)及報關委托書.其他都不一定要做.比如外貿公司如果只是出口代理,則只要做1,2,10,14.如該產品監管條件沒有B,則不需要做商檢.如做FOB,則又不需要保險單和裝船通知.

補充:出口商檢一般由工廠做，外貿公司只要提供合同發票報檢委托書及可能出現的情況說明.提單是船公司出的.核銷單是外管局領的

裝貨單是訂艙十聯單的黃聯,如果你是外貿公司,這些細節都是貨代的事,你只要把貨按時運到貨代指定地點,一切的手續都由貨代給你辦,辦完自然會把提單給你.如果是集裝箱運輸，則憑場站收據換船公司提單,如果是大宗散貨,則憑大副收據換.都是英文.
