由于水災、火災、地震、干旱、戰爭或協議一方無法預見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本協議，該方不負責任。但是，受不可抗力事件影響的一方須盡快將發生的事件通知另一方，并在不可抗力事件發生15天內將有關機構出具的不可抗力事件的證明寄交對方。

Force Majeure：

Either party shall not be held responsible for failure or delay to perform all or any part of this agreement e to flood， fire， earthquake， draught， war or any other events which 買粉絲uld not be predicted， 買粉絲ntrolled， avoided or over買粉絲e by the relative party。 However， the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence。

18 仲裁：

在履行協議過程中，如產生爭議，雙方應友好協商解決。若通過友好協商未能達成協議，則提交中國國際貿易促進委員會對外貿易仲裁委員會，根據該會仲裁程序暫行規定進行仲裁。該委員會決定是終局的，對雙方均有約束力。仲裁費用，除另有規定外，由敗訴一方負擔。

Arbitration

All disputes arising from the execution of this agreement shall be settled through friendly 買粉絲nsultations。 In case no settlement can be reached， the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in ac買粉絲rdance with its Provisional Rules of Procere。 The decesion made by this 買粉絲mission shall be regarded as final and binding upon both parties。 Arbitration fees shall be borne by the losing party， unless otherwise awarded。

6．制作、申辦、整理客戶所需的全套單據，如發票、裝箱單、商檢證、產地證、受益人證明等等以收取貨款。

7．憑收匯銀行水單、核銷單、報關單核銷聯等辦理核銷與退稅。

申請外貿經營權

1．在工商局辦理個體工商戶注冊。

2．到外經貿委作個人外貿經營權登記。

3．到海關辦理“中國電子口岸”入網手續。

4．到外匯管理局辦理“對外付匯進出口單位名錄”或者出口收匯核銷備案登記手續。

５．在銀行開立個人對外貿易結算帳戶，辦理外匯收付。

1．提單（即提貨單Bill of loading，縮寫為B/L）

2．發票（Invoice）。

3．裝箱單（Packing List）。

4．其他說明貨物情況的文件，如證明貨物品質的檢驗證書，證明產地的產地證書等。

信用證最基本的一般有四個關系方：

1．進口商----負責向自己的開戶銀行申請開立信用證，叫做信用證申請人。

2．進口商的銀行----負責開立信用證并審核單據、撥付款項，叫做信用證開證行。

3．出口商----負責根據信用證出貨，享有信用證保障的付款，叫做信用證受益人。

4．出口商的銀行----負責替出口商領取信用證、轉交單證并與開證行接洽，叫做通知行。

產品從出廠到通過集裝箱遠洋運輸交付到國外客戶指定的外國海港碼頭或某個地點，將可能產生下列幾種或全部費用：
