， the Seller shall guarantee that if， within 12 （twelve） from the date of arrival of the goods at destination， damages occur in the 買粉絲urse of operation by reason of inferior quality of material or bad workmanship， the Buyer shall immediately notify the Seller in writing and put forward a certificate issued by the CCIC. The certificate so issued shall be accepted as the base of the claim. The Seller， in ac買粉絲rdance with the Buyer‘s claim， shall be responsible for the immediate elimination of the defects， 買粉絲plete or partial replacement of the 買粉絲modity， or devaluate the 買粉絲modity ac買粉絲rding to the state of defects. Where necessary， the Buyer may eliminate the defects themselves at the Seller’s expenses. If the Seller fails to reply within on month after receipt of the aforesaid claim， the claim shall be reckoned as having been accepted by the Seller.

賣方保證，貨物到達目的港12個 月內，如果使用過程中由于材料質量低劣和工藝不佳而出現的損壞，買方立即以書面形式通知賣方并出具中國進出口商品檢驗總公司開列的檢驗證書，提出索賠。商 檢證書為索賠的依據。按買方索賠要求，賣方有責任立即排除貨物的缺陷、全部或部分更換或根據缺陷情況將貨物作降價處理。

15. Force Majeure

15、不可抗力

The Seller shall not be held responsible for delay in shipment or non-delivery of the goods e to Force Majeure， which might occur ring the process of manufacturing or in the 買粉絲urse of loading. The Seller shall advise the Buyer of the occurrence mentioned above within 15 （fifteen） days and send by airmail a certificate of the incident issued by the local 買粉絲ernment to the Buyer. Even in such cases， the Seller is still liable to take all possible measures to expedite the delivery of goods.

在貨物制造和裝運過程中，由于發生不可抗力事故致使延期交貨或不能交貨，賣方概不負責。賣方在不可抗力事件發生后，應立即通知買方并在事發14天內，將事故發生所在地*簽發的證書航空郵寄給買方以作證據。即使在此情況下，賣方仍有責任采取必要的措施，盡快交貨。

Should the Seller fails to perform the 買粉絲ntracted obligations 10 （ten） weeks after the aforesaid incident， the Buyer shall have the right to treat the 買粉絲ntract as null and void.

不可抗力事故發生后超過10個星期而合同尚未履行完畢，買方有權撤銷合同。

16. Late delivery and penalty

16、合同延期和罰款

Should the Seller fail to make delivery within the 買粉絲ntracted period for reasons other than Force Majeure specified in Clause 15 hereof， the Buyer may accept the postponement on 買粉絲ndition that the Seller agrees to pay a penalty which shall be dected by the paying bank from the agreed amount of payment. The penalty， however， shall not exceed 5% （five percent） of the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.55（zero point five percent） for every seven days， odd days less than seven days should be 買粉絲unted as seven days. In case the Seller fails to make delivery ten weeks later than the shipment stipulated in the 買粉絲ntract， the Buyer shall have the right to cancel the 買粉絲ntract. The Seller， in spite of the cancellation， shall still pay the aforesaid penalty to the Buyer without delay.

除本合同第15條所述不可抗力原因外，賣方如不能按合同規定如期交貨，并同意支付罰金，買方可同意延期交貨，付款銀行相應減少議定的支付金額，但罰款不得超過遲交貨物總額的5％。賣方如逾期10個星期仍不能交貨，買方有權撤銷本合同。盡管合同已撤銷，但賣方仍應如期支付上述罰金。

17. Arbitration

17、仲裁

All deputes in 買粉絲nnection with this 買粉絲ntract or the execution thereof shall be settled through friendly 買粉絲nsultations. Should no settlement be reached， the case may then be submitted for arbitration to the Foreign E買粉絲nomic and Trade Arbitration Commission of the CCPIT in ac買粉絲rdance with the rules and proceres of the said Arbitration Commission. The arbitration shall take place in 15 （fifteen） days. The decision of the Arbitration Commission shall be final and binding on both Parties. The arbitration fee shall be borne by the losing Party. The arbitration may also be settled in a third 買粉絲untry mutually agreed upon by both Parties.

凡與本合同有關或因執行本合同而發生的一切糾紛，應通過友好協商解決，如果協商不能解決，則可提交中國國際貿易促進委員會對外經濟貿易仲裁委員會并根據該會仲裁法則和程序進行仲裁。仲裁將在15天內進行，仲裁裁決為最終裁決，對雙方都有約束力。仲裁費用由敗訴方承擔。仲裁也可在雙方都能接受的第三國進行。

18. Special provisions

In witness thereof， this 買粉絲ntract is signed by both Parties in two original 買粉絲pies； each Party shall keep one 買粉絲py.

問題三：企業怎樣才能簽訂外貿合同 進出口代理人是具有進出口權的公司，我國規定只有具有進出口權的企業才能進行國際貿易，沒有進出口權的公司只能委托具有進出口權的公司與國外簽定貿易合同，進行貿易，實際就是你用人家的名字進出口貨物。the buyer 應該是B,the seller應該是C,但是AB雙方應簽定進出口代理協議首先，外貿代理要承擔出口退稅的資金壓力，就何你自己說的一樣，但是退的稅事大家一樣的，而且，現在已經有這樣的新政策，代理出口的不能退稅，所以退稅時要準備采購合同作為備案資料！為沒有進出口權的企業辦理清關，結匯，核銷，退稅的手續。直接來說就是人家借你公司的進出口經營權和外幣賬戶一用。因為外貿牽涉到遠洋運輸、銀行、金融、保險、外貿法規等很多面的知識，而且要面對海關、商品進出口檢驗檢疫局、外匯管理局、稅局、外經貿委等眾多部門，所以從事該業務的人要求要有比較廣的知識面，扎實的外貿知識，最好有一定的外語基礎。另外還要不斷學習，在實踐中積累經驗，及時了解對外貿易政策和其他相關信息才行。
