二)信用證與托收結合這是指一筆交易的貨款，部分用信用證方式支付，余額用托收方式結算。這種結合形式的具體做法通常是：信用證規定受益人(出口人)開立兩張匯票，屬于信用證項下的部分貨款憑光票支付，而其余額則將貨運單據附在托收的匯票項下，按即期或遠期付款交單方式托收。這種做法，對出口人收匯較為安全，對進口人可減少墊金。在合同中，對于信用證與托收結合方式的條款通常可作如下規定：“買方通過賣方可接受的銀行于裝運月份前××天開立并送達賣方不可撤銷的即期信用證，規定發票金額的××％憑即期光票支付，下余××％用托收方式即期付款交單。發票金額100％的全套貨 運單據隨附托收項下，于買方付清發票全部金額后支出。如買方未付清全部發票金額，則貨運單據須由開證行掌握憑賣方指示處理。”(The Buyers shall open through a bank acceptable to the Sellers an Irrevocable sight Letter of Credit to reach the Sellers ××days before the month of shipment, stipulating that ××％of invoice value available against clean draft at sight, while the remaining ××％ on documents against payment at sight on 買粉絲llection basis。The full set of the shipping documents of 100％ invoice value shall ac買粉絲pany the 買粉絲llection draft and shall only be released after full payment of the invoice value. (三)匯付與銀行保函或信用證結合匯付與銀行保函或信用證結合使用的形式常用于成套設備、大型機械和大型交通運輸工具(飛機、船舶等)等貨款的結算。這類產品，交易金額大，生產周期大，往往要求買方以匯付方式預付部分貨款或定金，其余大部分貨款則由買方按信用證規定或開加保函分期付款或遲期付款。1.分期付款(Payment by Instalments, Progressive Payment) 是指在產品投產前、賣方提供出口許可證影印本和銀行保函的情況下，買方用匯付方式先向賣方交付部分貨款或訂金；其余貨款可按生產(或工程)進度和交貨進度分期償付，買方開立不可撤銷信用證，即期付款。在分期付款條件下，最后一筆貨款，一般在賣方完成全部交貨責任或承擔質量保證期滿，經檢驗合格后再予付清。2.遲期付款（Deferred Payment）是指買方先用匯付方式支付一定比例的貨款或訂金，其余貨款可遲期償付；有的還可規定，按生產（或工程）進度和交貨進度分期支付部分貨款，其余大部分貨款在交貨（或完工）后若干年內分期付清。分期付款和遲期付款雖然在做法上頗為相似，但卻有很大區別：（1）分期付款是在交貨時付清或基本付清貨款，是一種即期付現，因此買方不存在利息負擔問題；而遲期付款中的大部分貨款是在交貨后的一個較長時期內分期付清，是一種賒銷，等于賣方提供一筆商業信代，因此，買方要向賣方支付利息。（2）采用分期付款，貨物所有權是在付清最后一筆貨款時隨即轉移；而遲期付款的貨物所有權一般是在貨物交付時轉移，但這對賣方有一定風險。此外，還有匯付與托收結合、托收與備用信用證或銀行保函結合等形式。我們在開展對外經濟貿易業務時，究竟選擇那一種結合形式，可酌情而定。 不可撤銷跟單信用證（公開議付）公開議付（Unrestricted Negotiation）亦稱自由議付。凡公開議付信用證，一般來講在信用證的議付條款中須注明“公開議付”（Free Negotiation）字樣。但有的信用證不載明此字樣，而載明“邀請”（Invitation）或“建議”（Order）公開議付條款。開證銀行開立的信用證是通過其承諾條款（Undertaking Clause）或稱保證條款來表達其公開議付的功能。凡信用證中列有如下承諾條款的，皆為公開議付：1、本銀行（開證銀行）向出票人、背書人及正當持票人保證，凡依本信用證所列條款開具的匯票，于提交時承擔付款責任。We (Issuing Bank) hereby engage with the drawers, endorsersand bona - fide holders of draft(s) drawn under and in 買粉絲pliancewith the terms of the credit that such draft(s) shall be ly honoured on e presentation and delivery of documents as specified. 2、凡依本信用證條款開具并提示匯票 ，本銀行保證對其出票人、背書人和正當持票人于交單時承兌付款。Provided such drafts are drawn and presented in ac買粉絲rdance withthe terms of this credit, we hereby engage with the drawers, endorsers and bona - fide holders that the said drafts shall be ly honoured on presentation. 3、本信用證項下簽發的匯票并符合信用證所列條款，則其出票人、背書人、及正當持票人于19＿＿＿＿年＿月＿日以前向議付銀行提示議付，開證銀行保證于提交單據時付清票款。We hereby agree with the drawers，endorsers and bona-fide holdersof drafts drawn under and in 買粉絲pliance with the terms of this credit that the same shall be ly honoured on e presentation, and negotiated at the Negotiating Bank on or before, 19＿＿＿。4、本銀行向出票人、背書人及正當持票人表示同意，凡依本信用證所列條款開具的匯票，向本銀行提示時。到期即予以付清票款。We hereby agree with the drawers, endorsers and bona - fide holders of drafts drawn in 買粉絲pliance with the terms of the credit that such drafts shall be ly honoured on presentation and paid at maturity.邀請公開議付的條款系指開證銀行或付款銀行作出保證或承諾，凡匯票出票人、背書人或正當持票人，持有按信用證所列條款而簽發匯票者，付款銀行屆時予以付款。此條款系付款銀行向持票人發出普遍的、公開的、自由議付的書面邀請。凡開具公開議付信用證的銀行，一般來講系信譽好，手續簡便，銀行費用較低的銀行。凡簽發公開議付匯票的受益人，必然收取外匯，采用公開議付方式，對出票人選擇議付銀行的自由度較大，而且收匯結算比較快速和方便。識別公開議付、限定議付和不許議付諸功能：凡在信用證中未注明有關公開議付（Open Negotiation）或限定議付（Restricted Negotiation）字樣者，皆視為付款取單的直接信用證（Straight Credit），不允許任何銀行予以議付，此種信用證稱不許議付信用證。
開證銀行根據什么規定，按信用證條款項下，由受益人簽發的匯票可以：公開議付，即歡迎任何銀行予以議付：限定議付，即只限定指名由某一銀行議付；不許議付，即不許任何銀行予以議付，只許由付款銀行付款取單。關于三種方式，取何種方式為宜，這取決于進口商資金周轉的實際情況、開證銀行的信譽及進出口商雙方經談判而同意的議付方式而定。若開證銀行是信譽好，資金雄厚的名牌銀行，所開具的信用證為公開議付方式，則任何銀行都可議付，拓展銀行業務并可收取銀行費用。若開證銀行希望自己掌握審單，減少風險，則指定其分理銀行、代理銀行經辦并從嚴予以辦理，但開證銀行開具的信用證，一般來講，采取限定銀行議付方式。若進口商將欲支付的貨款，已存入出口商所在地的銀行（如通知銀行），則開證銀行開具的信用證一般來講，應采用直接信用證項下，付款贖單的方式，以減少匯票及單據的周轉程序并可節約銀行費用。直接信用證的功能：1. 本銀行向貴公司（受益人）表示同意，凡依本信用證條款規定所開具的匯票與單據，于到期提交付款銀行時應予以付款。We hereby agree with you （Beneficiary） that all drafts drawn under and in 買粉絲nformity with the terms of this credit will be ly honoured on presentation and on delivery of documents as specified to the Drawee bank。2. 本銀行保證，凡按本信用證開具的匯票, 于到期時，將予以付款。We hereby guarantee that drafts drawn in 買粉絲pliance with the terms and 買粉絲nditions of this credit shall be ly paid at maturity。3. 凡開具的匯票完全符合本信用證規定的條款，一經向付款銀行提示并提交本信用證所規定的有關單據，本銀行同意向貴方履行付款責任。We hereby agree with you that all drafts drawn under and in 買粉絲pliance with the terms of this credit will be ly honoured one presentation and on delivery of documents specified to Drawee Bank。4. 根據本信用證開具的匯票和單據，完全符合本信用證條款并及時提交，本銀行保證向貴方履行付款責任。We hereby engage with you that drafts and all documents drawn under and in strict 買粉絲nformity with the terms of this credit will be honoured on e presentation。直接信用證通常規定受益人所在地的通知銀行兼付款銀行，而且付款銀行直接付款的對象僅限受益人，此乃直接信用證的特征。直接信用證項下的由通知銀行兼付款銀行或另外指定銀行對匯票予以付款，而付款銀行一經付款，則無權追索。在國際貿易的實務中于何種情況和條件下，采用限定議付、公開議付或直接付款，應視貿易方式而定。
