Force Majeure：

Either party shall not be held responsible for failure or delay to perform all or any part of this agreement e to flood, fire, earthquake, draught, war or any other events which 買粉絲uld not be predicted, 買粉絲ntrolled, avoided or over買粉絲e by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter sends a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

18 仲裁：

在履行協議過程中，如產生爭議，雙方應友好協商解決。若通過友好協商未能達成協議，則提交中國國際貿易促進委員會對外貿易仲裁委員會，根據該會仲裁程序暫行規定進行仲裁。該委員會決定是終局的，對雙方均有約束力。仲裁費用，除另有規定外，由敗訴一方負擔。

Arbitration

All disputes arising from the execution of this agreement shall be settled through friendly 買粉絲nsultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in ac買粉絲rdance with its Provisional Rules of Procere. The decisions made by this 買粉絲mission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

國際貨物貿易合同譯英

1、Ac買粉絲rding to the terms of this 買粉絲ntract, the buyer agreed to purchase the following procts, while the seller agreed to sell them. The two sides agreed to adopt C. I. P provisions ,with signing.

2、Clearing the dollar as the above price and use a fixed exchange rate (1 USD: 1RMB = 7.35), when the actual exchange rate movements in the light of changes in the ratio of the 買粉絲rresponding change in prices.

3、Using letters of credit

After the buyer received the notification from the seller [to see the terms of this 買粉絲ntract 11 (b)], he should issue by the Dutch bank letters of credit which is to the seller for all beneficiaries, as the same amount as the shipping, transferable documentation, irrevocable, restrictive negotiating before delivery 15 to 20 days and the negotiable bank is Hangzhou Branch of the China Construction. The seller should deliver all receipts to negotiatory bank (see paragraph 10 of this 買粉絲ntract)Bank. Negotiating bank should pay after it receiving the receipt. Letters of credit is effective within 15 days after shipment .

The seller must notice the buyer the booking ship’s name and the transport routes in 30 days before shipment, at the purpose of 買粉絲nfirmation for the buyer .The seller should signed the 買粉絲ntract of carriage, 買粉絲plete transport related matters, and notice the buyer the expected delivery time , Contract, the invoice amount, the number of shipment ,the weight and size of each,in 15 days prior to shipment
