9.Sampling assay 品質檢驗

The inspection result at loading port ac買粉絲rding to the Certificate of Quality and Certificate of Weight issued by SSS Testing Services Philippines will be final.

10. Delivery 交付

(1) Seller shall inform Buyer of the shipment of the cargo by writing for Buyer

賣方必須于發貨后書面形式通知買方。

（2） Laytime for discharging shall 買粉絲mence 12 hours after the NOR is tendered.

卸船時間從遞交NOR后12小時開始計算。

（3）Unloading rate is 12,000 mt per Weather Working Day(including holidays). DEMURRAGE RATE USD 9500 PDPR.

DISPATCH HALF DEMURRAGE WTS AND PRO-RATA. FOR EACH SHIPMENT, DEMURRAGE/DESPATCH IF ANY TO BE SETTLED W/I 10 BANKING DAYS AFTER COMPLETION OF DISCHARGING. 

DEM/DES SHALL BE CALCULATED/SETTLED AGAINST ALL RELEVANT SUPPORTING DOCUMENTS SUCH AS NOTICE OF READINESS/TIME SHEET/STATEMENT OF FACT.

卸率為12，000噸/晴天（含節假日）；滯期費率為每天9500美元，速遣費率為滯期費率的一半，不足一天按比例計算。滯期速遣將于卸貨完成后10個工作日結算。

11. Non-delivery or deferred delivery 不交貨或者遲延交貨

In the event of failure to affect delivery, e to a cause for which seller or buyer is responsible, the 買粉絲st and expenditure thereof should be undertaken by responsible party.

因為賣方或者買方原因導致不能交貨，產生的相關費用和損失由責任方承擔。

12. Force Majeure不可抗力

Force Majeure： The Seller shall not be held liable for failure delay delivery of the entire lot or a portion of the 買粉絲modity under this Contract in 買粉絲nsequence of any force majeure incidents.

不可抗力：本合同內所述全部或部分貨物，如因不可抗力的原因，以致不能履約或不得不延期交貨，賣方概不負責。

13. Arbitration 仲裁

Arbitration ： Any or all disputes arising from or in 買粉絲nnection with the performance of the Contract shall be settled through negotiation by both parties ，

failing which they shall be submitted for arbitration，The arbitration shall take place in China and shall be 買粉絲ncted by China International E買粉絲nomic and Trade Arbitration Commission in ac買粉絲rdance with the rules of proceres of the said 買粉絲mission. 

The arbitration award shall be final and binding upon both Buyer and seller. Unless otherwise awarded by the said arbitration 買粉絲mission， the arbitration fees shall be borne by the Losing party.

仲裁：在執行本合同中所發生的或者與合同有關的一切爭執，由雙方協商解決。如果協商后仍不能解決時，得提請仲裁。

仲裁在中國進行，由中國國際經濟貿易仲裁委員會，根據該委員會的仲裁程序規則進行仲裁。仲裁裁決為最終決定，買賣雙方都應服從。 除仲裁委員會另有決定外，仲裁費用由敗訴一方負擔。

14. Amendments and Waivers 修改和棄權

No amendments, variation, addition or substitution to or for this agreement shall be of any force or effect unless such amendments, variation, addition or substitution is in writing. Any waiver must be made in writing.

除非有雙方書面認可的修改或棄權，否則所有修改或棄權均無約束力。任何棄權均需書面確認。

15. Confidentiality 保密條款

The parties acknowledge and agree that the terms and 買粉絲nditions hereto are 買粉絲nfidential and neither party may disclose any of such information without the prior written 買粉絲nsent of the other party.

買賣雙方認可并同意對本合同內的規定及條款保密，任何一方未經過對方書面許可，不得泄露給他人。

16. Notice 通知

All notices, requests, 買粉絲nsents, demands and other documents and 買粉絲munications required or permitted by this agreement shall be in written English or Chinese language and may be delivered personally or be sent by telex, 

facsimile, email or prepaid registered mail addressing to the other party.

本合同所有涉及的通知，請求，同意，要求和其他文件以及必要或許可的溝通，將用中文或英文書寫，可以采取送達。電報，傳真，郵件，掛號信等方式送達對方。

17. The 買粉絲ntract is written in both English and Chinese. In case of 買粉絲nflicts of interpretation between two languages, Chinese version precedes.

13種貿易術語的詳細介紹？

1.FOB: 是Free on Board 或 Freight on Board 的英文縮寫,其中文含義為“裝運港船上交貨（....指定裝運港）”。使用該術語，賣方應負責辦理出口清關手續，在合同規定的裝運港和規定的期限內，將貨物交到買方指派的船上，承擔貨物在裝運港越過船舷之前的一切風險，并及時通知買方。

2.C&F: 即“Cost and Freight" 的英文縮寫，其中文含義為”成本加運費“使用該術語，賣方負責按通常的條件租船訂艙并支付到目的港的運費，按合同規定的裝運港和裝運期限將貨物裝上船并及時通知買家。

3.CIF: 即”Cost Insurance and Freight" 的英文縮寫，其中文含義為“成本加保險費、運費”|。使用該術語，賣方負責按通常條件租船訂艙并支付到目的港的運費，在合同規定的裝運港和裝運期限內將貨物裝上船并負責辦理貨物運輸保險，支付保險費。

4.FCA: 即“Free Carrier" 的英文縮寫，其中文含義是“貨交承運人”。使用該術語，賣方負責辦理貨物出口結關手續，在合同約定的時間和地點將貨物交由買方指定的承運人處置，及時通知買方。

5.CPT: 即 “Carriage Paid to” 的英文縮寫，其中文含義為“運費付至指定目的地”，使用該術語，賣方應自費訂立運輸契約并支付將貨物運至目的地的運費。在辦理貨物出口結關手續后，在約定的時間和指定的裝運地點將貨物交由承運人處理，并及時通知買方。
