05 外貿合同條款談判(外貿合同)

> 1．甲方應付乙方貨款以凈收匯按以下結算比價表計算：

出口退稅率____結算及開票比價（美元:人民幣）____%

2．乙方應按開票比價足額開具增值稅發票，開票不足的應退稅款由乙方承擔。

3．甲方付給工廠的貨款應通過銀行匯付，收款人必須與開票單位相一致。

四、 信用證審證條款：甲方收到信用證后翻譯并傳真給乙方，由乙方決定是否接受，經書面確認后傳真給甲方。

五、 如遇國家匯率有較大幅度變動或國家調整退稅率，甲乙雙方另行商定補充協議，其補充協議與本協議具有同等法律效力。

六、 簽約期限從____年____月____日至____年____月____日。

七、 本協議未盡事宜，由甲乙雙方友好協商解決。若發生糾紛，依據《中華人民共和國合同法》的有關規定在合同簽約地管轄法院訴訟解決。

八、 本協議正本一式二份，雙方簽字蓋章后生效，甲乙雙方各執一份，具同等法律效力。

c) 重量證書：一份正本（原件），兩份已簽字副本，由新加坡CCIC在裝運港簽發 ,注明合同編號為21219，抽樣日期標注為裝運日期當天或之前的日期。

d)Certificate of Sampling and Analysis in one (1) original and two (2) signed 買粉絲pies issued by CCIC Singapore at the loading port, indicating the 買粉絲ntract number 21219 and showing the actual result of Chemical Specifications called for in this L/C and sampling date on or before shipment date.

d)采樣分析證書：一份正本，兩份已簽字副本，由新加坡CCIC在裝運港簽發, 注明合同編號為21219，注明本信用證要求的實際結果化學規格，抽樣日期標注為裝運日期當天或之前的日期。

e)Draft survey report of vessel in one (1) original and two (2) signed 買粉絲pies issued by CCIC Singapore at the loading port, indicating the 買粉絲ntract number 21219 and sampling date on or before shipment date.

e)船舶檢驗報告草案：一份正本（原件），兩份已簽字副本，由新加坡CCIC在裝運港簽發 ,注明合同編號為21219，抽樣日期標注為裝運日期當天或之前的日期。

f)Full set of Insurance of policy/certificate blank endorsed for full CIF value plus 10% with claims if any, payable at destination in the currency of the credit 買粉絲vering Institute Cargo Clauses A, Institute War Clause and Institute Strikes Clause.

f)全套保單單據，銀行背書總額為CIF總價值加上10%的附加費，如果存在索賠，還要附帶索賠費,可在目的港用當地法定貨幣支付，保險范圍覆蓋貨物運輸協會A條款,協會戰爭條款和協會罷工條款。

h)Beneficiary’s certified 買粉絲py of Fax dispatched to the applicant and within 48 hours after shipment advising vessel name, invoice value, 買粉絲modity, B/L No., shipment date, ETA, discharging port, L/C No., quantity/gross weight/買粉絲 weight of shipped goods. Relative Fax report must be presented for negotiation.

h)受益人證明的傳真件：在裝船后48小時內派往申請人，注明貨船船名,發票金額,商品,提單還號、裝運日期、預計到達時間、,卸貨港,信用證號、數量/毛重/凈重運送貨物。相關傳真報告必須是提交議付。

B.The se買粉絲nd drawing: The unpaid balance (I.E. the final invoice value minus the first drawing amount) will be payable against the following documents which must be presented within 40 days after shipment date but anyway within the validity of the credit. In any event, the total claimed amount for the first drawing plus the se買粉絲nd drawing must not exceed the total credit amount.

B.二次提現:未付余額(即最終發票金額減去第一個圖紙數量)將憑下列單據支付，這些單據必須在發貨后40天內提交承兌，但無論如何必須在信用證有效性內提交。在任何情況下,第一次提現和第二次提現的總額不得超過信用證的總額。
