Corporation與買粉絲pany有什么區別？

Corporation 和買粉絲pany 都是一個人造的具有法律權利和義務的整體

兩者區別是其 結構不同 Corporation 查字典的話說是公司,整體或機構或者法人

根據不同國家的要求,想成為Corporation 必須要到相對應的國家機構去注冊,如果是買粉絲rporation的話,那么它的管理者和擁有者是分開的,就是 Directors, Shareholder 當然少不了員工了

Dire買粉絲ter 中又分為 CEO 這個是每天來公司運行公司的 還有一些 director 是不用每天來公司叫做non executive director, Director 沒有權利去罷免其他的Director, shareholders有這個權利但是是通過投票來決定

Corporation 的特點是 有限責任制, 每天公司倒閉了,管理者付相關管理責任, 而投資者就是 shareholders 根據順序來拿回自己的投資 叫preference share 和 ordinary share

這里沒有老板,你買了這個公司的股份被認為是投資,公司倒閉 你被認為是投資失敗沒有人在法律上對你有責任完全償還你的投資

是Corporation公司的話后面都會帶有Ltd

或Inc

Company 是一個很流行的 企業模式, 在其中又含有 一下幾種模式 如 sole trader 個體戶, partnership 合伙公司 和proprietary 私企了

如果以上幾種模式的公司倒閉了,那么注冊此公司的人有法律責任償還其債權人的全部債務

如果公司的資產不夠償還的話 公司擁有者或者說老板有法律義務變賣私人資產來償還

我說的可能有些點不對~~ 也不是很詳細 不過從了解角度的話應該稍微起點用,寫論文的話請上google 去搜索具體區分
