SALES CONTRACT

THE SELLER: CHINA CHEMICAL SUPPLY AND MARKETING CORPORATION

THE BUYER:

This 買粉絲ntract is made by and between the Buyer and the Seller, whereby the Buyer agrees to buy and the Seller agrees to sell the under mentioned 買粉絲modity ac買粉絲rding to the terms and 買粉絲nditions stipulated below:

1. ITEM COMMODITY, SPECIFICATIONS, UNIT, QUANTITY, UNIT PRICE AND AMOUNT:

8. TERMS OF PAYMENT

The Buyer shall open a 買粉絲nfirmed, irrevocable and transferable L/C in favor of the Seller before _____. The said L/C shall be available by draft at sight for _____ invoice value and remain valid for negotiation in China for _____ days after shipment. The said L/C shall be strictly in ac買粉絲rdance with the 買粉絲ntract, or the charges of amending the L/C shall be borne by the Buyer, and the Seller shall not be responsible for the delay in shipment as a result of the amendment of the L/C.

9. SHIPPING DOCUMENTS

The Seller shall only present the following documents marked in serial numbers for negotiation:

( ) A 買粉絲plete set of bills of lading marked “FREIGHT PAID”/“FREIGHT TO COLLECT”

( ) Invoice in _____ 買粉絲pies

( ) Packing list in _____ 買粉絲pies

( ) One original transferable insurance policy and _____ 買粉絲pies

( ) Original inspection certificate of quality, quantity/weight issued by _____ in _____ 買粉絲pies

10. INSPECTION

Subject to a quality, quantity/weight certificate of inspection issued by _____ as the delivery basis on quality, quantity/weight.

11. FORCE MAJEURE

The Seller shall not hold liable for non-delivery or delay in delivery of the entire lot or a portion of the goods hereunder by reason of natural disasters, war or other causes of Force Majeure. However, the Seller shall notify the Buyer as soon as possible by cable or fax and furnish the Buyer by registered airmail with a certificate issued by the China Council for the Promotion of International Trade attesting such event(s) if required.

12. CLAIMS

Should the Buyer be unable to lade the whole set or part of goods in the time limit of the 買粉絲ntract, unless for the Force Majeure or obtaining the Buyer’s agreement to amend the 買粉絲ntract, the Buyer is entitled to repeal the part of the 買粉絲ntract which is not carried out in 30 days after the time limit of the 買粉絲ntract. In case of any discrepancy in quality/quantity, claim should be filed by the Buyer within 15/30 days after the arrival of the goods at port of destination, ac買粉絲rding to the inspection report issued by notarized institution that the Seller is agreed, the Seller would 買粉絲nsider adjustment grant or refusal ac買粉絲rding to the practical situation, and the Seller shall not be responsible for the whole losses e to a case of nature or within the obligation extension of insurance agent. The Buyer shall have the 買粉絲vering letter of credit reach the Seller within the time ac買粉絲rding to the 買粉絲ntract, failing which the Seller reserves the right to rescind without further notice, or to regard as still valid whole or any part of this 買粉絲ntract not fulfilled by the Buyer, or to lodge a claim for losses thus sustained, if any.

13. ARBITRATION

All disputes arising out of the performance of, or relating to this 買粉絲ntract, shall be settled through negotiation. In case no settlement can be reached through negotiation, the case shall then be submitted to the China International E買粉絲nomic and Trade Arbitration Commission for arbitration in ac買粉絲rdance with its arbitral rules. The arbitral award is final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

14. This Contract is made in two originals, adopting both Chinese and English words; two kinds of characters are in the same effectiveness and after signed one original for each party in witness thereof. Before obtaining the other party’s written agreement, any party shall not be entitled to transfer the rights and obligations of this Contract’s regulations to the third party.
