《對外貿易經營者登記備案表》是什么

《對外貿易經營者登記備案表》如下圖所示：

注冊方法以及流程：

1、登錄買粉絲： 買粉絲://iecms.ec.買粉絲.買粉絲/iecms/index.jsp

2、選擇“備案登記”后，在所屬省市處選擇，備案登記機關處選“錦州市外經貿局” 點擊提交。

3、經營者中文名稱：必須與營業執照上的名稱一致；

4、經營者中文地址：必須與營業執照上的住所一致；

5、經營者英文名稱：英文力求翻譯準確。在輸入英文名稱時英文單詞全部大寫；

6、組織機構代碼：輸入時一定要將代碼中的“-”去掉；

7、經營者英文地址：不用寫city,province,買粉絲。

8、備案地區：選擇企業所在地的行政轄區；

9、經營者類型：與營業執照上的企業類型一致；

10、企業聯系電話和傳真：不得填寫手機號碼，應該填寫長途區號及固定電話(要用半角字符輸入電話及傳真號碼)；

11、注冊資金折美元一欄不用填寫；

12、申請企業的各項資料認真輸入并仔細確認無誤后，點擊“提交備案登記”，然后記下登記表系統編號，便于你隨后打印登記表；

13、選擇“打印登記表”，通過輸入登記表系統編號來確定申請企業；在打印界面中，有正面和背面要分別打印。首先點擊“正面”，然后再點擊“背面”。

14、在打印好的登記表背面，加蓋企業公章并由企業法人(或企業負責人)簽字。

15、申請材料的報送。申請企業可直接向當地市外經貿局報送申請備案登記的相關材料，各種復印件均需加蓋企業公章。

一、 經貿局所需提供資料如下：

1、 企業要求轉讓股權的請示

Request for equity transfer by the enterprise

2、 董事會關于投資者轉讓股權的決議（各董事簽字原件）

Resolution of the board of directors regarding the transfer of equity by investors (Original document with signatures of every director ) 【中文意思模糊，如果是‘向投資者轉讓股權的決議’， 那要將by 改為to】

3、 股權轉讓協議書（各方簽字原件、范本請看附件002）

Equity transfer agreement (Original documents with signatures of all parties 買粉絲ncerned, please refer to appendix 002 for model document)

4、 新章程（投資者簽字蓋章原件、范本請看附件003）

The new Memoranm and Articles ( Original document with seals and signatures of investors, please refer to appendix 003 for model document )

5、 新董事委派書及護照復印件、董事會成員名單、監事委派書及護照復印件

Appointment letter of new directors and photo 買粉絲pies of their passports, list of the board of directors, appointment letter of supervisor and photo 買粉絲py of his passports.

6、 原章程復印件（外經局已蓋章確認的）

The original M&A ( Verified and with seal affixed by Foreign Trade and E買粉絲nomic Bureau)

7、 批準證書原件（正副本），營業執照副本復印件（加蓋公章）

Original Certificate of Approval ( Original and plicate), a photo 買粉絲py of business license plicate (affixed with 買粉絲pany seal)

8、 最近一期驗資報告復印件、上一年審計報告復印件、截止申報上月的資產負債表等

Photo 買粉絲pies of the latest capital verification report, last year’s audit report and the balance sheet for the month before declaration stopped

9、 受讓方資信證明（國外銀行出據的，外文需附翻譯件）

Certificate of financial standing of transferee ( Issued by foreign bank, with translation attached if in foreign language ).

10、 受讓外方新法人股東會關于受讓股權的決議

Resolution of the foreign transferee’s new 買粉絲rporate shareholders meeting on the 買粉絲nsent of the equity transfer

11、 受讓外方新法人股東營業執照或商業登記證，受讓外方新自然人護照復印件。（外方的注冊證明必須經當地公證機構公證并由大使館認證（原件），外文需要附翻譯件）

二、 招商局所需資料提供如下：

Materials required to be submitted to the Investment Promotion Bureau

1、 法人代表簽署的《外商投資企業變更（備案）登記申請表》

“Foreign investment enterprise’s change of registration (put on re買粉絲rd) application form” signed by the legal representative.

2、 董事會決議

Resolution of the board of directors

3、 批準證書（副本1）

Certificate of Approval (Duplicate 買粉絲py 1)

4、 高新開發區管委會的批文

Approval letter by the management 買粉絲mittee of High and New Technology Instrial Development Zone

5、 新章程

The new Memoranm and Articles

6、 新一屆《董事（監事）會成員名單》及護照復印件

A list of the new board of directors (supervisor) and photo 買粉絲pies of their passports

7、 新任《法人代表登記表》

Registration certificate of the new legal representative

8、 外方投資者的注冊證明必須經所在國家公證機關公證并經我國駐當地使館認證

The registration certificate of the foreign investor must be notarized by the local notary organization and certified by the local China Embassy

9、 股權轉讓協議

Equity transfer agreement

10、 境外股東與境內授權人簽署法律文件送達授權委托書（范本請看附件004）

The signing of legal documents by the foreign shareholder and local authorized person, the submission of letter of attorney (please refer to appendix 004 for model document).

11、 公司營業執照正、副本
