任何有關或源于此協議本身或協議違約、終止、無效方面的糾紛、爭議和訴爭都應依現行有效的聯合國國際貿易法委員會（UNICTRAL）仲裁規則仲裁，但仲裁規則與下面條款有沖突的，以本協議為準

上述處理程序中勝訴方有權要求對方補償合理的律師費和與處理程序有關的支出

仲裁應以英文為工作語言，在香港進行

香港國際仲裁中心（HKIAC）為仲裁受理主體

仲裁地為位于香港的香港國際仲裁中心（HKIAC）

仲裁庭應由一名仲裁員組成

HKIAC在裁決時應依據現行有效的HKIAC仲裁規則，包括通知中含有的對UNICTRAL仲裁規則的補充

此協議要求的或可能要求的通知應以書面形式

書面通知的發送方式有：郵費已付、有收到憑證的掛號信，專人遞交，空運（要有收到通知），傳真（需在5個工作日內發送上述方式的確認通知）

所有發送到以下地址或收到方給對方發通知留下的地址的通知在收到時視為已送達

（15） 不可抗力:由于人力不可抗拒的事故，使賣方不能在本合同規定期限內交貨或者不能交貨，賣方不負責任。

Majeure：In case of force majeure, the seller shall not be responsible for late delivery or non-delivery of the goods but shall notify the Buyer by cable, The seller shall deliver to the buyer by registered mail.

（16） 仲裁：凡因執行本合同或與本合同有關事項發生的一切爭執，應由雙方以友好協商解決，如果不能取得協議時，則在被告國家根據被告國仲裁機構的仲裁程序進行仲裁，仲裁決定是終局的，對雙方具有同等約束力。仲裁費用除非仲裁機構另有決定外，均由敗訴一方承擔。

Arbitration: All disputes in 買粉絲nnection with this 買粉絲ntract or the execution thereof shall be settled friendly through negotiations. Where no settlement can be reached the disputes shall be submitted for arbitration.

Tje L/C must specify that transshipments and partial shipments are allowed.

17 人力不可抗拒因素：

由于水災、火災、地震、干旱、戰爭或協議一方無法預見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本協議，該方不負責任。但是，受不可抗力事件影響的一方須盡快將發生的事件通知另一方，并在不可抗力事件發生15天內將有關機構出具的不可抗力事件的證明寄交對方。

Force Majeure：

Either party shall not be held responsible for failure or delay to perform all or any part of this agreement e to flood, fire, earthquake, draught, war or any other events which 買粉絲uld not be predicted, 買粉絲ntrolled, avoided or over買粉絲e by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter sends a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

18 仲裁：

在履行協議過程中，如產生爭議，雙方應友好協商解決。若通過友好協商未能達成協議，則提交中國國際貿易促進委員會對外貿易仲裁委員會，根據該會仲裁程序暫行規定進行仲裁。該委員會決定是終局的，對雙方均有約束力。仲裁費用，除另有規定外，由敗訴一方負擔。
