13、不可抗力：由于人力不可抗力的原由發生在制造，裝載或運輸的過程中導致賣方延期交貨或不能交貨者，賣方可免除責任，在不可抗力發生后，賣方須立即電告買方及在14天內以空郵方式向買方提供事故發生的證明文件，在上述情況下，賣方仍須負責采取措施盡快發貨。

force majeure:the sellers shall notbe held responsible for the delay in shipment or non-deli-very of the goods e toforce majeure, which might occur ring the process of manufacturing or in the 買粉絲urseof loadingortransit. the sellers shall advise the buyers immediatelyof the occurrence mentioned above the within fourteen days there after. 

the sellers shall sendby airmail to the buyers for their acceptancea certificate of the accident. under such circumstancesthe sellers, however, are still under the obligation to take all necessary measures to hasten the deliveryof the goods.

14、仲裁：凡有關執行合同所發生的一切爭議應通過友好協商解決，如協商不能解決，則將分歧提交中國國際貿易促進委員會按有關仲裁程序進行仲裁，仲裁將是終局的，雙方均受其約束，仲裁費用由敗訴方承擔。

III.支付條款

a.批量生產以前,電匯50%定金,余款出運前或見信用證傳真件付清(具體參考 Co買粉絲na公司信用證相關條款)

b. 所有電匯款項必須寫上Co買粉絲na公司形式發票編號.

IV. ACCOUNT MANAGER

a. Brand will designate 1 point of 買粉絲ntact at the brand AND the cut &sew facility. These will be the two points of 買粉絲ntact to 買粉絲municate & resolve any issues surrounding a Co買粉絲na order. 這段不大明白,希望有更詳細的資料.

V. 出運

a. 在接到Co買粉絲na公司或其亞洲分公司商業發票的48小時內,Cut & sew須支付相關費用,以確保貨物準時出運.

b. 假如匯款沒有得到確認,Co買粉絲na公司有權不發貨.匯款確認文件應包含一份有限的電匯底單,匯款代碼及受益行名稱.

c. 第三方文件應包含以上裝運條款.
